Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the SuiviParcel mobile applications, websites, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.


1. About SuiviParcel & Acceptance of Terms

1.1 Service Provider

SuiviParcel is operated by Suivi Technologies Ltd (“SuiviParcel”, “Suivi”, “we”, “us”, or “our”), a company incorporated in Kenya, with its principal place of business in Nairobi, Kenya.

1.2 Nature of the Service

SuiviParcel provides a technology platform that facilitates parcel delivery by connecting senders, riders (independent couriers), and recipients. SuiviParcel does not itself provide transportation or courier services unless explicitly stated in writing.

1.3 Acceptance

By downloading, registering, accessing, or using the Service, you confirm that:

  • You have read and understood these Terms
  • You agree to be legally bound by them
  • You agree to comply with all applicable laws and regulations

If you are using the Service on behalf of a business or organization, you represent that you are authorized to bind that entity.


2. Eligibility & Accounts

2.1 Eligibility

You must:

  • Be at least 18 years old
  • Have legal capacity to enter into binding contracts
  • Comply with all applicable laws in your jurisdiction

Additional eligibility requirements may apply for riders, including licenses, vehicle documentation, insurance, and background checks where applicable.

2.2 Account Registration

You must create an account to use most features of the Service. You agree to:

  • Provide accurate, current, and complete information
  • Keep your account details updated
  • Maintain the confidentiality of your login credentials

You are responsible for all activity that occurs under your account.

2.3 Account Misuse

You must not:

  • Impersonate another person
  • Create multiple accounts to evade rules
  • Use the Service for fraudulent, illegal, or abusive purposes
  • Interfere with the operation or security of the platform

We reserve the right to suspend or terminate accounts that violate these Terms.


3. Use of the Service

3.1 What the Service Enables

The Service allows users to:

  • Request parcel pickup and delivery
  • Accept delivery requests (riders)
  • Track parcels in real time
  • Communicate via in-app messaging or calls
  • Make and receive payments through supported payment methods

3.2 Sender Responsibilities

As a Sender, you agree to:

  • Provide accurate pickup and delivery information
  • Ensure parcels contain lawful items only
  • Properly package items to prevent damage
  • Not send prohibited, dangerous, or illegal goods

You must not submit or request delivery of any items that are restricted under applicable law or under SuiviParcel’s Prohibited Items Policy, available at: prohibited-items

SuiviParcel reserves the right, at its sole discretion, to:

  • Refuse, cancel, or terminate any delivery request
  • Suspend or restrict accounts where a parcel is suspected to contain prohibited, unsafe, or non-compliant items.

SuiviParcel may update the Prohibited Items Policy from time to time, and continued use of the Service constitutes acceptance of such updates.

3.3 Rider Responsibilities

As a rider, you agree to:

  • Comply with all traffic, safety, and transport laws
  • Maintain valid licenses, permits, and insurance
  • Use safe and lawful delivery practices
  • Accept or reject delivery requests at your discretion

Riders operate as independent contractors, not employees or agents of SuiviParcel.


4. Payments, Fees & Pricing

4.1 Marketplace Model

SuiviParcel operates as a technology platform that connects Senders with independent Riders. SuiviParcel does not provide delivery services directly and is not a carrier or logistics provider. All delivery services are performed by independent Riders.

4.2 Pricing

Delivery fees are generated using automated pricing guidelines that consider factors such as distance, time, and demand, and are displayed in-app before confirmation.

These amounts represent suggested pricing estimates to facilitate transactions on the platform.

Riders are independent service providers and may choose whether to accept, reject, or ignore delivery requests based on the proposed pricing.

SuiviParcel does not guarantee that any delivery request will be fulfilled at a particular price.

The final delivery fee represents the amount payable to the Rider for the delivery service.

4.3 Payments

Payments for delivery services are made directly to the Rider, either:

  • Offline (e.g., cash or mobile money), or
  • Through in-app facilitation tools provided by SuiviParcel

Where payments are facilitated through the platform, SuiviParcel acts solely as a technical facilitator and not as the merchant of record. SuiviParcel does not take ownership of funds paid for delivery services.

4.4 Rider Payouts

Riders receive payment directly from Senders for delivery services.

Where payments are facilitated through the platform, Riders authorize SuiviParcel to collect and process such payments on their behalf using the tools and infrastructure provided within the Service.

Funds collected in this manner are held for the benefit of the Rider and may be reflected in a Rider wallet within the platform. The Rider may request withdrawal of available funds at any time, subject to applicable processing requirements.

SuiviParcel acts solely as a technical and administrative facilitator of payment collection and settlement and does not assume ownership of funds.

SuiviParcel is not a financial institution and does not provide banking services. Processing times may vary depending on third-party payment providers.

4.5 Platform Commission

SuiviParcel earns a service commission from Riders for use of the platform.

This commission is separate from the delivery fee and represents payment for access to the platform, matching services, and related features.

4.6 Taxes

Riders are generally responsible for declaring and remitting any taxes applicable to income earned from delivery services, in accordance with applicable law.

Senders are responsible for any taxes applicable to their transactions.

SuiviParcel is responsible for taxes applicable to its own commissions and platform fees.

Nothing in this section shall be construed as tax advice, and all parties are encouraged to comply with applicable tax laws and seek independent guidance where necessary.


5. Content, Intellectual Property & Licenses

5.1 SuiviParcel Intellectual Property

All software, trademarks, logos, designs, and content related to the Service are owned by or licensed to SuiviParcel. You are granted a limited, non-exclusive, revocable, non-transferable license to use the Service for its intended purpose.

5.2 User Content

You retain ownership of content you upload (messages, photos, proof of delivery). You grant SuiviParcel a worldwide, royalty-free license to use, store, display, and process this content solely to operate and improve the Service.

5.3 Feedback

Any feedback or suggestions you provide may be used by SuiviParcel without obligation or compensation.


6. Safety, Compliance & Prohibited Use

You agree not to:

  • Transport illegal or restricted items
  • Harass, threaten, or harm others
  • Use the Service for unlawful surveillance
  • Attempt to reverse-engineer or exploit the platform
  • Circumvent pricing, security, or access controls

We may take action, including suspension or termination, for violations.


7. Suspension, Termination & Account Closure

7.1 Suspension or Termination by SuiviParcel

We may suspend or terminate your access if:

  • You violate these Terms
  • Your conduct poses a safety or legal risk
  • Required by law or regulatory authorities

7.2 Account Closure by You

You may close your account at any time through the app or by contacting support. Certain records may be retained as required by law.

7.3 Effects of Termination

Upon termination:

  • Your license to use the Service ends
  • Outstanding obligations remain enforceable
  • Certain sections of these Terms survive termination

8. Disclaimers

8.1 Service Disclaimer

The Service is provided “as is” and “as available.” We do not guarantee uninterrupted service, availability, or error-free operation.

8.2 Third-Party Actions

SuiviParcel is not responsible for the actions or omissions of riders, senders, recipients, or third-party providers.


9. Limitation of Liability

To the maximum extent permitted by law:

  • SuiviParcel shall not be liable for indirect, incidental, special, or consequential damages
  • Our total liability for direct damages shall not exceed the amount you paid to SuiviParcel in the 12 months preceding the claim

Nothing in these Terms limits liability where prohibited by law.


10. Indemnification

You agree to indemnify and hold harmless SuiviParcel from claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable laws
  • Content you submit or actions you take through the platform

11. Governing Law & Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Kenya, without regard to conflict-of-law principles.

11.2 Dispute Resolution

Parties agree to attempt good-faith resolution before pursuing formal legal action. Courts located in Nairobi, Kenya shall have jurisdiction unless otherwise required by law.


12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the app or other appropriate channels. Continued use after updates constitutes acceptance.
